Terms and Conditions for HytchUp

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the HytchUp platform (the “Service”) operated by HytchUp, a division of NuaSYS, Inc. (“Us”, “We”, or “Our”).

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, independent drivers, passengers, and others who access or use the Service.

By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of the terms, You may not access the Service.

1. Definitions

  • Account: A unique account created for You to access our Service or parts of our Service.
  • Company: Refers to HytchUp, a division of NuaSYS, Inc.
  • Service / Platform: Refers to the HytchUp mobile application, website, and digital matching marketplace.
  • You / User: The individual accessing or using the Service, whether as a passenger, an independent driver, or a general visitor.

2. Eligibility & Account Security

  • Age Requirement: You must be at least 18 years of age to create an account or use this Service. By using HytchUp, you represent and warrant that you meet this requirement.
  • Account Responsibility: You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password. You agree not to disclose Your password to any third party.

3. Scope of Service & Payment Disclaimers

Peer-to-Peer Software Only

HytchUp is a technology platform that provides software matching services between independent drivers and passengers looking for a ride. HytchUp is not a transportation carrier, rideshare corporation, or taxi service. We do not provide transportation services ourselves.

Direct Peer-to-Peer Payments

  • No In-Platform Transactions: HytchUp does not process, collect, split, or handle any payments, fares, digital transactions, tips, or fees for rides between passengers and independent drivers.
  • Independent Negotiation: All financial transactions, fare structures, and methods of payment (e.g., cash, third-party peer-to-peer payment apps) are negotiated, agreed upon, and completed entirely between the driver and the passenger outside of the HytchUp platform.
  • Dispute Exclusion: HytchUp is not responsible for, and will not mediate, any financial disputes, unpaid fares, or payment disagreements between users.

4. Safety & Vetting Disclaimers (Crucial Disclosure)

No Background Checks or Screenings

HytchUp provides an open, peer-to-peer software matching utility. The Company does not perform background checks, criminal record screenings, DMV/driving history verifications, or vehicle safety inspections on any user or independent driver. * Assumption of Risk: By using the Service, You explicitly acknowledge that HytchUp does not verify the identity, character, background, or physical/mechanical fitness of any user or vehicle matched through the platform.

  • Personal Vetting: You assume full responsibility for Your own safety, physical security, and vetting when choosing to connect, share a vehicle, or communicate with other users through the platform.

5. User Conduct & Rules

By utilizing the platform, all users agree not to:

  • Use the Service for any illegal, unauthorized, or fraudulent commercial purposes.
  • Harass, abuse, stalk, threaten, or physically harm other users connected via the platform.
  • Provide false, inaccurate, or intentionally misleading profile data, vehicle information, or documentation.
  • Impersonate any individual or entity, or falsify an association with a person or vehicle.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall HytchUp, NuaSYS, Inc., its founders, affiliates, or licensors be liable for any incidental, direct, indirect, special, punitive, or consequential damages whatsoever. This includes, but is not limited to:

  • Personal injury, property damage, bodily harm, or emotional distress arising out of or in connection with any matches, rides, or interactions with other users.
  • Loss of data, profits, or goodwill resulting from the use or inability to use the platform.
  • Any disputes or financial losses occurring due to payment arrangements made outside the platform.

The Service is provided to you “AS IS” and “AS AVAILABLE” with all faults and defects without warranty of any kind.

7. Termination

We may terminate or suspend Your Account and bar access to the Service immediately, without prior notice or liability, under Our sole discretion, for any reason whatsoever, including without limitation if You breach the Terms.

8. Governing Law

The laws of the State of New Jersey, United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.
